Many businesses find it more economical to rely upon outside counsel to act as their in-house and general counsel. We routinely serve as outside general counsel for businesses throughout the country and the world, as well as assist in-house legal departments as an alternative to hiring an additional, full-time counsel or outsourcing overflow work that might otherwise be handled by an experienced in-house counsel.  Working closely with each client to understand its business model and industry, we develop an in-depth understanding of each client’s business activities and objectives which allows us to provide customized service targeting each client’s unique needs and available resources.  Because of this, we are able to provide focused, client-centered, and cost-effective advice and counsel on legal issues confronting our clients on a daily basis.

As outside general counsel, we coordinate and oversee:

- Commercial contracts, licensing agreements, and strategic transactions

- Corporate governance, directors and shareholder meetings, board and shareholder
   resolutions, and consents

- Counseling officers and directors on fiduciary duties and strategic considerations

- Employment matters, including hiring, retention, termination and employee handbooks

- Executive compensation, including stock options, restricted stock agreements, and equity and
  non-equity based incentive compensation

- Litigation and alternative dispute resolution

- Privacy and data security

- Risk management

- Trademark, copyright, and other intellectual property protection
